Juniper's Terms & Conditions

Hi, we’re Juniper! And we’re on a mission to make reproductive healthcare a fairer and more inclusive space. 

Before we explain what Juniper can offer you, we kindly ask you to read these User Terms carefully as they outline the rules governing the Juniper Platform. They also provide details about what services we will be providing you with and, importantly, explaining what Juniper is and is not! 

There is no cost to you to join the Juniper Platform as your employer has already taken care of this (unless we specifically say otherwise under these User Terms or on the Juniper Platform). 

These User Terms are supplemental and additional to Juniper’s Supply Terms which shall govern Juniper’s commercial relationship with your employer, including the scope and duration of the services procured for you by your employer. Please familiarise yourself with Juniper’s Supply Terms, which you can request from your employer. If there is a conflict between these User Terms and Juniper’s Supply Terms, then the latter shall prevail. 

Unless otherwise defined in these User Terms, any capitalised terms will have the same meaning as set out in Juniper’s Supply Terms.

Acceptance of these User Terms

  1. By activating or using our Juniper Platform, you agree to be bound by and follow the rules set out in:
    1. these User Terms;
    2. our Acceptable Use Policy below, which explain what you can and cannot do with the information provided on the Juniper Platform; and
    3. our Privacy Policy and Cookie Policy at www.getjuniper.co.uk/privacy-policy.
  2. We may change these User Terms at any time by posting a revised version on our website. If legally required, we will notify you in advance via email of when the modified User Terms will take effect.
  3. Any change shall come into effect and be deemed accepted if you continue using the Juniper Platform after the revised version is posted. If you do not wish to be bound by any changes, you must stop using the Juniper Platform.
  4. Please review these User Terms carefully before you use the Juniper Platform, and continue to check here periodically for any updates. 
  5. To use our Services, you must be of legal adult age as defined under the applicable law in your country of residence. If your jurisdiction restricts the use of the Services due to age, legal, religious, or moral reasons, you must comply with those restrictions and refrain from using the Services if prohibited. 

Our Services

  1. The Juniper Platform is operated by Juniper Reproductive Health Ltd (“we, us, ours”).  We are a company incorporated in England and Wales under company number 14973476 and our registered office address is located at 50 Liverpool Street, London, EC2M 7PY, United Kingdom.
  1. The Juniper Platform is a healthcare membership platform designed to facilitate access to various healthcare services. It offers a wide range of helpful information, guidance, and suggestions, directing you ("you, End User(s)”) toward the care you may require. However, that care will always be provided by an independent third-party healthcare provider, who is fully responsible for all aspects of that healthcare, including consultations, diagnostics, treatments, and any other healthcare-related services ("Third Party Provider"). 
  1. Whilst we will of course always try to be as helpful as possible, Juniper is not a healthcare provider itself, and you should never use our Juniper Platform as a substitute for emergency services, including medical emergency services and any safeguarding emergency services.  If you need urgent help then please immediately call the relevant medical or other emergency services response number.  
  1. There are different tiers of membership and your tier is determined by the membership plan that your employer (“Employer”) has opted for. Regardless of your membership tier, you always have access to the following Services:
    1. Educational and self guided support through articles and other content;
    2. Assistance through our Care Navigator, offering a concierge service that provides you with wellbeing support, navigation and overview of our Service;  
    3. Access to our Online Care Practitioners, independent and licensed healthcare practitioners offering online limited consultations for initial healthcare queries and guidance;
    4. Access to our Partnered Clinics or, depending on your membership tier, External Clinics or other entities that provide fertility and related healthcare services; 
    5. Credit through our Juniper Berries which you can spend on our Services. 
  1. You understand and agree that:
    1. Your access to the Juniper Platform and our Services is subject to your Employer or  Employer Partner paying the membership fees as agreed in the Juniper Supply Terms between us and your Employer (the “Membership Fees”). If, at any time, the Membership Fees are not paid by your Employer in accordance with the Juniper Supply Terms, or the Juniper Supply Terms are terminated by either us or your Employer:
      1. you may lose access to the Juniper Platform and Services; and/or 
      2. and we may immediately suspend or terminate your access to the Services without notice. 
  2. The Services provided by Juniper to you are fully discretionary and you are under no obligation to accept, use, or continue using the Services. 
  3. The Services are only available during the agreed Term (as defined within Juniper’s Supply Terms) and cannot be accessed, used, or extended beyond the agreed Term unless explicitly renewed or extended by mutual agreement between Jasper and your Employer. Failure to use the Services within the Term does not entitle you to any refunds or extensions.
  4. Juniper does not provide reproductive healthcare services itself. Juniper’s responsibility is solely to facilitate access and affordability to reproductive healthcare services offered by Third Party Providers. Juniper does not engage in the practice of medicine, provide medical advice, or make any medical decisions on an End User. 
  5. Whilst Juniper endeavours to partner with reputable Third Party Providers, it makes no warranty or representation as to the quality, availability, or outcome of any services provided by these Third Party Providers.
  6. Juniper partners with Online Care Practitioners, who may provide initial and limited medical recommendations. The Online Healthcare Practitioner is a licensed healthcare professional and operates in compliance with all applicable medical standards and regulations. Any medical advice provided by Online Care Practitioners is not a substitute for a comprehensive medical consultation with a physician or other healthcare provider, and Juniper makes no warranty or representation as to the recommendation provided by Online Care Practitioners to an End User.
  7. All personal, medical or, where necessary, payment information provided by you on the Juniper Platform is accurate, up-to-date and complete.
  8. You are responsible for paying any additional costs directly to any pharmacy that dispenses a prescription to you issued by an Online Care Practitioner or Third Party Provider. 
  9. Where you have been issued a prescription, only you, or the person named on the prescription, shall use the prescribed medication and follow the instructions provided in the prescription.
  10. Juniper Berries have no cash value or any other value outside of the Juniper Platform and are not redeemable for cash. For the avoidance of doubt, Juniper Berries do not operate or serve as stored value facilities in any way. You may not trade, transfer, gift, or otherwise exchange Juniper Berries.
  11. Once Juniper Berries are used to access a membership level or purchase a Service, they are considered consumed and cannot be returned or refunded.
  12. In the event that you miss or cancel an appointment with a Third Party Provider, you may be charged a late cancellation fee (“Cancellation Fee”). Juniper reserves the right to, at its sole discretion, to either deduct the cash equivalent of the Juniper Berries from the End User’s available Juniper Berries or alternatively claim the Cancellation Fee directly from the End User.  
  13. In the event that a Third Party misses or cancels a scheduled appointment, Jasper shall reimburse you the Juniper Berries used to book the appointment. No other form of compensation will be provided. 

License

  1. Juniper grants you a non-exclusive, non-transferable, royalty-free and revocable license to use the Juniper Platform in accordance with these User Terms.
  2. All trademark rights, copyright, database rights, and any other intellectual property rights of any nature vesting in the Juniper Platform together with the underlying software code are exclusively owned by Juniper and / or its group of companies (as prescribed between them).
  3. Juniper reserves the right to withdraw this license (and therefore access to the Juniper Platform at any time for the reasons outlined in clause 5.3 (and otherwise at Juniper’s sole discretion).

Account registration

  1. Before you start using the Juniper Platform, you must create and/or activate your account. 
  2. You will be asked to provide your first and last name, email address and mobile telephone number.
  3. Unless otherwise specified, each End User must register only one account.
  4. Accounts registered by bots or any other automated methods are not permitted and may be removed by Juniper at any time, without notice to the End User.
  5. If you are provided with, or create, a password or any other security information during registration, you must treat it as confidential. Your account is personal to you, and you should not allow others to access it. To protect your account, we recommend logging out after using the Juniper Platform, especially if accessing it from a shared device.
  6. It is your responsibility to immediately inform Juniper, at info@getjuniper.co.uk, if you think your personal information, including but not limited to account details, access credentials or personal data, have been violated, unduly disclosed or stolen.

Account termination

  1. You may at any time terminate your account and stop using the Juniper Platform. In the event that you discontinue your use of the Juniper Platform before the end of a Term, no pro rata refunds will be provided by Juniper to your Employer. Your Employer remains obligated to pay the full Membership Fee for the entire Term.
  2. Juniper reserves the right to suspend or terminate any End User account at any time and without notice, and at Juniper’s sole discretion, where:
    1. The End User has violated these User Terms; and/or
    2. The End User's access or use of the Juniper Platform may cause loss or damage to Juniper, other users or third parties; and/or
    3. The End User’s use of the Juniper Platform violates any law or regulations; and/or
    4. The account or its use is deemed to be, at Juniper’s sole discretion, inappropriate or offensive or in violation of these User Terms; and/or
    5. in any other case where, in Juniper’s sole discretion, it is necessary for the protection of the Juniper Platform or Juniper brand.
  1. The suspension or deletion of an End User account shall not entitle the End User to any claims for compensation, damages or reimbursement. It also does not relieve the End User of any existing payment or other obligations.

Limitation of liability and indemnities

  1. To the fullest extent permitted by law, Juniper shall have no liability in respect of the actions or omissions of Third Party Providers. Juniper is not responsible for the diagnosis, treatment, or medical advice provided by these Third Party Providers, nor for any outcomes resulting from such services. The End User acknowledges that Juniper’s role is primarily to provide access to these Third Party Providers, and any engagement between the End Users and Third Party Providers is at the End User’s discretion and risk.
  2. In any event, the total liability of Juniper to the End User, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, arising under or in connection with this Agreement, shall be limited to the total amount of the Membership Fees paid by your Employer to Juniper in the 12 months preceding the event giving rise to the claim.
  3. We do not limit or exclude our liability where it would be unlawful to do so, including for death or personal injury caused by our negligence or for fraud and fraudulent misrepresentation.
  4. We will have no liability to you for any special, indirect or consequential loss, costs, damages, charges or expenses. 
  5. You agree to indemnify and hold Juniper and its subsidiaries, affiliates, officers, directors, agents, partners and employees harmless from and against any loss, damage, claim, demand ⁠— including but not limited to lawyer's fees and costs ⁠— arising due to or in relation with your breach of these User Terms or any third-party rights or statutory provisions. 

Personal Data

  1. Our Privacy Privacy can be found at www.getjuniper.co.uk/privacy-policy and provides information on what data we collect, how we process it and other important information, including your rights pertaining to your data.

General Provisions

  1. Juniper’s failure to assert any right or provision under these User Terms shall not constitute a waiver of any such right or provision. No waiver shall be considered a further or continuing waiver of such term or any other term.
  2. Without prejudice to any more specific provision of these User Terms, any intellectual property rights, such as copyrights, trademark rights, patent rights and design rights related to the Juniper Platform are the exclusive property of Juniper or its licensors and are subject to the protection granted by applicable laws or international treaties relating to intellectual property.
  3. Juniper reserves the right to transfer, assign, dispose of by novation, or subcontract any or all rights or obligations under these User Terms, taking our End Users’ legitimate interests into account. Provisions regarding changes of these Users Terms will apply accordingly.
  4. You may not assign or transfer your rights or obligations either under these User Terms in any way, without our written permission.
  5. Should any provision of these User Terms be deemed or become invalid or unenforceable under applicable law, the invalidity or unenforceability of such provision shall not affect the validity of the remaining provisions, which shall remain in full force and effect.
  6. This Agreement shall be governed by and construed in accordance with the laws of England and Wales. If you are located within the European Economic Area, you may also benefit from any mandatory protections under the laws of your country of residence. In the event of any dispute or claim, the parties shall first attempt to resolve the matter through good faith negotiations. Should those negotiations fail, the parties agree that the courts of England and Wales will have exclusive jurisdiction over any disputes.

Acceptable use policy

Conditions of use

  1. You will comply with the following conditions of use at all time:
    1. You will comply with all applicable laws and regulations, and will not use the Juniper Platform for any improper, fraudulent, or otherwise illegal purposes;
    2. You will not use the Juniper Platform for any commercial gain;
    3. You will not (nor allow third parties on your behalf to):
      1. make and distribute copies of any part of the Juniper Platform;
      2. attempt to copy, rent, sub-license, loan, merge, reproduce, alter, modify, reverse engineer, disassemble, decompile, transfer, exchange, translate, hack, distribute, harm or misuse any part of the Juniper Platform; 
      3. seek to damage, interfere with or disrupt the Juniper Platform in any way, whether through the introduction of a virus or otherwise; or 
      4. create derivative works of the Juniper Platform of any kind whatsoever.
  2. You acknowledge that your use of the Juniper Platform may be subject to third party terms.
  3. Where explicitly stated on the Juniper  Platform, you may download, copy and/or share some content available through the Juniper Platform for your sole personal and non-commercial use, provided that the copyright attributions and all other attributions requested by Juniper are correctly implemented.

Content on the Juniper Platform

  1. Unless otherwise specified, all content available on the Juniper Platform is owned or provided by Juniper or its licensors.
  1. Juniper aims to ensure (but does not guarantee) that the content provided on the Juniper Platform is accurate, up to date, and does not infringe any applicable legal provisions or third-party rights. 
  1. No information displayed or shared on the Juniper Platform should be considered as formal advice or recommendations. If you are in any doubt or have any significant concerns regarding your health then you should always consult with a licensed healthcare professional.
  1. Further, through the Juniper Platform, you may have access to external resources provided by third parties. You acknowledge and accept that Juniper has no control over such resources and is therefore not responsible for their content and availability.

  2. In particular (but not limited to this), Juniper may provide third party offers and discounts to you from time to time, and via the Juniper Platform. Juniper cannot guarantee any third party discounts or other offers provided via the Juniper Platform, which will be at the ultimate discretion of the third party alone.

Access and availability

  1. To ensure the best possible service level, Juniper reserves the right to interrupt the provision of the Juniper Platform for maintenance, system updates, or any other changes. Where required, you agree to promptly install such updates to ensure the security and functionality of the Juniper Platform. Juniper shall not be responsible for your or your employer’s own operation or maintenance of the Juniper Platform. 
  2. Within the limits of applicable law, Juniper may also decide to suspend or discontinue its Services altogether. Should this happen, then Juniper will cooperate with the End Users to enable them to withdraw their Personal Data or other information, and, to the extent it is within our control, will always respect our End Users' rights relating to any ongoing use of our Services.
  3. You acknowledge and agree that: 
    1. The Juniper Platform is provided on an “as is basis” and Juniper makes no warranty or representation as to the quality, merchantability, and fitness for a particular purpose. Juniper does not warrant or make any representations regarding the use or the results of use of the Services made available through the Juniper Platform.
    2. The Juniper Platform is provided via the internet and as a result Juniper cannot and does not guarantee that the Juniper Platform, or any content on it, will always be available or be uninterrupted. This is because interruptions, delays and/or other problems are inherent in the provision of Services via such communication facilities. Juniper may temporarily suspend, withdraw or restrict the availability of all or any part of the Juniper Platform, to the extent necessary for operational reasons and Juniper shall use reasonable endeavours to minimise the effects of any such suspension, withdrawal or restriction and to notify the End Users of any such suspension, withdrawal or restriction.
